Terms of Use

This Terms of Use (“Terms”) applies to your use of oh! Circle’s (“oh! Circle”, “our” or “we” or “us”) Services (“Services”) and any information, text, photos, pictures and any other materials available on oh! Circle (collectively, the “Content”). You are required to read, understand and agree to be bound by these Terms before using our Services. Your use of oh! Circle Services constitutes your agreement to these Terms.

1. Term Definition
  • “User” refers to any users using oh! Circle services, regardless of signups.
  • “Circle” refers to the group that any User can create on oh! Circle.
  • “Member” refers to the User who joined and subscribed to the Circle.
  • “Membership” refers to the subscription of a User to a Circle.
  • “Circle Admin” refers to a User who creates a Circle for the first time or takes over the operation and maintenance of the Circle from the predecessors.
  • “Rules” refer to a set of rules set by Circle Admin as conditions to User joining the Circle.
2. Basic Terms
  • 2.1 You are responsible for your use of the Services, for any Content you create and post to to the Services, and liable for any consequences thereof. The Content you post and submit on any parts of oh! Circle could be viewed by other oh! Circle users regardless of their right to submit and post on oh! Circle. Therefore you must only submit and share Content to the public and users that you are comfortable sharing. Your Content must comply with our Community Guidelines for any Content you create and access to.
  • 2.2 You must be able to form a binding contract with oh! Circle, must not be a person barred from using the Services under all applicable laws and have not been permanently suspended from oh! Circle. If you are accepting these Terms on behalf of another legal entity, you agree to represent that you have full legal authority to bind the entity to these Terms.
  • 2.3 We aim to provide the best experience to our users and the nature and the form of the Services oh! Circle provides may change or temporarily and permanently be terminated without prior notice to you. We may need to limit your use of our Services at our sole discretion at any time without prior notice to you.
3. Your Content
  • 3.1 You have all rights and ownership in your Content that you created on oh! Circle. You are solely responsible for your Content, therefore any use or reliance on any Content posted and created or obtained by you from our Service is at your own risk. We do not guarantee or represent the completeness, truthfulness, accuracy, or reliability of any Content created and posted on our Services. By using the Services, you may be exposed to Content that could be inaccurate, harmful, offensive, deceptive and inappropriate despite our Community Guidelines. Under no circumstances will oh! Circle be liable for any Content on the Services including but not limited to any form of loss or damage, misunderstanding and errors incurred from the use of any Content available on oh! Circle.
  • 3.2 You grant us a worldwide non-exclusive, irrevocable, perpetual, royalty-free and transferable license to use, copy, modify, create derivative work of, adapt and distribute your Content in any media, anytime. You agree to waive any and all of your moral rights with respect to your Content.
  • 3.3 We have no obligation to monitor Content including yours, however at our sole discretion we may remove or permanently remove your Content, suspend or terminate User account at any time for any reason, including violating our Community Guidelines, these Terms or if you likely create or create liability for us in any form.
  • 3.4 We may make efforts to identify and eliminate harmful or unlawful Content, however we are not responsible for any violation, losses, misuse of information, or any unlawful actions from the Content.
4. Creating Circle
  • 4.1 Users are eligible for creating and operating a Circle. When creating and operating a Circle, Admins must comply with Admin Policy published by oh! Circle. However if the Circle and its Content violates Community Guidelines, these Terms and Privacy Policy, we reserve the right to temporarily or permanently eliminate the Circle.
  • 4.2 Circle Admins must keep any Circle or account information confidential. Circle Admins are responsible for any information leakages.
5. Joining Circle
  • 5.1 Any User can join any Circle on oh! Circle, only after agreeing with Rules set by respective Circle Admins, additional to these Terms, Privacy Policy and Community Guidelines.
  • 5.2 All contents posted on oh! Circle could be publicly searched and found outside oh! Circle website.
6. Roles of Circle Admin, Member and User
  • 6.1 Circle Admin is entitled to set Membership terms and conditions in addition to these Terms, Privacy Policy and Community Guidelines. These Membership terms and conditions must not breach any laws.
  • 6.2 Circle Admin has access to Member ID, Member username, date of joining Circle and activity details on our Services (including but not limited to number of comments, posts, visit frequency to the Circle) to improve your experience on oh! Circle and Circle you have joined. Circle Admins must not collect any additional personal information including but not limited to legal name, age, residential or payment information. Circle Admins are strongly prohibited to share any of these information to anyone without a prior written consent and Circle Admin will be responsible for any violation.
  • 6.3 Circle Admin is entitled to remove, report posts and comments as spam, warn or withdraw Membership of a Member when Content or the User violates these Terms, Community Guidelines and Circle Rules.
  • 6.4 Circle Admin is entitled to update the Circle information at any time including Circle name, category, keyword tag, introduction message and Circle profile picture.
  • 6.5 Circle Admin is entitled to transfer the Admin rights to another Member of the Circle. Circle Admin can designate Members as Admins.
  • 6.6 Circle Admin can delete the Circle at any time, which will be permanently deleted 2 weeks upon the request from the Admin.
  • 6.7 All Users (including Circle Admin, Member and User) must comply with these Terms and Community Guidelines and agree with Privacy Policy. Any violations, intention to violate will temporarily or permanently terminate your account and Content on oh! Circle.
  • 6.8 All Users (including Circle Admin, Member and User) can view Content however need to create an account with us in order to create or submit Content, interact with Content (Like Content). It is User responsibility to keep login credentials including username, password and email used secure. You are responsible to oh! Circle for all activities or consequences occur via your account.
7. Responsibility of Circle Admin
  • 7.1 We may make efforts to identify and eliminate harmful or unlawful Content however Circle Admin is responsible and constantly makes an effort to control the integrity of Content of it Circle based on these Terms, Community Guidelines and Admin Policy. If any Content and Member against these Terms and Community Guidelines are found, Admin must immediately remove the Membership of the Member and report and remove the Content.
  • 7.2 Circle Admin may need to revise the Circle Rules to better protect Members from harmful and unlawful Content and Members.
  • 7.3 Circle Admin must report any actions or intention of sales of goods, monetary transaction, asking for transaction information as it is prohibited on oh! Circle. All liabilities and obligations from the trading goods or service between Members are by the parties involved, not by the oh! Circle or Circle Admin when Admin is clearly not involved.
  • 7.4 Circle Admin is an important contributor to oh! Circle. Circle Admins may actively provide opinions and suggestions to improve oh! Circle.
8. Copyright
  • 8.1 Oh! Circle respects the intellectual property rights of others and requires users of our Services to do the same. If you believe that your Content has been infringed on a trademark or copyright that you own or control, please notify us by contacting admin@ohcircle.com. We reserve the right to remove Content alleged to be infringing or terminate user accounts making repeat infringement at our sole discretion without prior notice and liability to you.
9. Our Rights
  • 9.1 Our Services are protected by copyright, trademark and other laws of Singapore and foreign countries. All title, right in and to the Service excluding Content provided by users are exclusive property of oh! Circle. You do not have any right to use the name of oh! Circle (“oh! Circle”, “oh Circle”, “ohcircle”), any of our trademark, logo, domain name and distinctive brand features.
10 Your License
  • 10.1 We provide you a royalty-free, personal, non-assignable and non-exclusive license to use our Service, solely for you to use and experience the benefit of our Service as we intended, under these Terms. This license is revocable and we have the right to limit or terminate your right to use oh! Circle at any time without prior notice.
11. Disclaimer of Warranties
  • 11.1 YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, LEGAL, STATUTORY, OR OTHERWISE. WE MAKE NO WARRANTY THAT (a) OUR SERVICES WILL BE CONSTANTLY AVAILABLE, SECURE, COMPLETE, ERROR-FREE, TIMELY AND MEET YOUR REQUIREMENT; (b) CONTENT IS FREE OF OFFENSIVE, HARMFUL, INDECENT, OBJECTIONABLE MATERIAL (c) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF OUR SERVICES WILL BE EFFECTIVE AND VALID; (d) ANY ERRORS OF SERVICES WILL BE CORRECTED; (d) OUR SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS DESPITE OUR SECURITY MEASURES.
  • 11.2 Views expressed on our Services do not reflect our views. We do not endorse or support any Content posted by Users including yourself.
12. Limitation of Liability
  • 12.1 IN NO EVENT WILL OH! CIRCLE BE LIABLE TO YOU OR ANYONE ELSE FOR ANY INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY DAMAGES WHATSOEVER.
  • 12.2 OH! CIRCLE IS NOT LIABLE TO YOU OR ANYONE ELSE FOR ANY LOST PROFITS RELATING TO THESE TERMS. USE OF, ACCESS TO OUR SERVICES IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY LOST OR DAMAGE TO YOUR COMPUTER SYSTEM, DEVICE AND DATA.
  • 12.3 IN NO EVENT WILL THE AGGREGATE LIABILITY OF OH! CIRCLE ENTITY UNDER OR IN CONNECTION WITH THIS AGREEMENT EXCEED TO ONE HUNDRED DOLLARS (SGD 100).
  • 12.4 LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT UNDER APPLICABLE LAW IN YOUR JURISDICTION.
13. Governing Law
  • 13.1 If you have a dispute, you agree that your relationship will be governed by the laws of Singapore and that any grievances or claims relating to these Terms and the Services will be brought exclusively in the courts of Singapore.
14. Termination
  • 14.1 You can stop using our Services at any time.
  • 14.2 We may stop providing Services to you, limit, add limit or create new limit to our Services at any time. We may modify, add or remove features, or stop all or some parts of our Services without any notice in advance.
  • 14.3 In the case of Service termination, without guarantee we will make an effort to notify you. If Circle Admin requests to delete the Circle you will have two weeks of access to your Content in the respective Circle. If your account is terminated due to infringement of Terms, Community Guidelines, Circle Rules or Admin Policy if applicable, your account will not be able to cancel the termination.
15. Changes to Terms
  • 15.1 We may modify any part of these Terms from time to time. Any changes on these Terms will be updated on oh! Circle website with effective date. If the changes are material in our sole discretion, we will make reasonable effort to notify you on our Services. We suggest you regularly check our Terms of Service to stay informed on any changes. By continuing to access or use our Services on or after the effective date of the revised and updated Terms, you agree to be bound by the revised Terms. You must stop using our Services if you do not agree to the revised Terms, before the changes and updates are effective. oh! Circle will not be responsible for any loss or damages resulting from your failure to get informed with the respective changes on these Terms.
16. Additional Terms
  • 16.1 If any part of these Terms are found to be invalid or unenforceable by a court, the rest of Terms still apply and the unenforceable part will be in effect to the greatest extent possible.
  • 16.2 Failure to enforce or exercise any of these Terms will not constitute a waiver of the Terms or the right for oh! Circle to enforce such Terms.
  • 16.3 You cannot assign or transfer any of your rights or obligations under these Terms to someone else without our consent. We can assign our rights and obligations under these Terms to you without your permission.
  • 16.4 These Terms, Privacy Policy, Admin Policy and any other agreements expressly incorporated in these Terms constitute the entire agreement between and and us regarding your use and access to the Services. Any prior agreements, if any, between us and you regarding the Services supersedes.
